英语法律语言

英语合同常使用正式且带有古老色彩的词汇。对任何专业人士来说，理解这些术语都很重要。

Shall（合同义务）

在合同中，"shall" 表示法律义务，而不是将来时：

• The tenant shall pay rent on the first of each month. → 租户必须在每月第一天支付租金。
• The company shall provide written notice. → 公司必须提供书面通知。

Hereby（特此）

"Hereby" 是正式副词，意思是“通过本文件”或“特此”：

• The parties hereby agree to the following terms. → 各方特此同意以下条款。

Whereas（鉴于）

"Whereas" 用来引出合同的背景或前提：

• Whereas the Company wishes to hire the Consultant… → 鉴于公司希望聘用该顾问……

• In accordance with → 根据；按照
• Subject to → 以……为条件；须经……
• Hereinafter referred to as → 以下称为
