Legal Language in Japanese Contracts
Japanese legal and contractual language uses distinctive grammar patterns that differ significantly from everyday speech. Understanding these is essential for reading contracts, leases, and official documents.
ものとする is the standard contract phrasing meaning "shall" or "it is stipulated that": 賃料は毎月末日に支払うものとする (Rent shall be paid on the last day of each month).
に従い means "in accordance with" or "following": 本契約の規定に従い、解除することができる (The contract may be terminated in accordance with these provisions).
に基づき means "based on" or "pursuant to": 法律に基づき、損害賠償を請求する (To claim damages pursuant to the law).
に限り means "limited to" or "only when": 書面による合意がある場合に限り (Only when there is written agreement). This restricts the scope of a clause.
These patterns appear in rental contracts, employment agreements, and business contracts throughout Japan. Recognizing them helps you navigate official documents with confidence.

Common mistakes
支払うことにする支払うものとするものとする is the legal stipulation form; ことにする is a personal decision
規定に従って解除する規定に従い解除することができるIn legal text, に従い (without て) is the formal conjunctive form

合意がある場合限り合意がある場合に限りに限り requires the particle に before 限り
契約を結んだする契約を結ぶものとするものとする attaches to the dictionary form, not past tense
